Preparing your business for a sale: a guide for founders in Panama
Six areas of preparation to present your business clearly and assess a possible transition.
Preparing your company for a potential sale does not mean deciding to sell. It means gathering information, understanding your options, and defining what you need for the next step. These six areas can help organize the work.
1. Organize financial information
Gather historical financial statements, recent results, and tax filings. Work with your accountant to explain differences and document personal expenses or exceptional items, without altering records simply to make them appear consistent.
Agree with the potential buyer on the periods to review and keep a list of outstanding information.
2. Identify your operating role
Document the decisions, relationships, and processes that depend on you. Consider who could take them on and what training they would need. The goal is to prepare a transfer of knowledge, not to step away prematurely.
3. Review contracts and obligations
Organize important contracts, permits, registrations, and team documentation. With your advisors, identify expirations, consents, and matters to resolve. Do not assume every contract or permit transfers automatically.
4. Understand valuation assumptions
Read the valuation guide and prepare questions about methods, adjustments, and payment terms. An initial estimate can change as information develops; it is not a price promise.
5. Plan information handling
Before sharing sensitive information, review a confidentiality agreement with your advisors. Define access, responsibilities, and stages of disclosure. Communication planning should consider applicable obligations and the transaction's status.
6. Define your personal goals
Consider whether you want to retire, support a transition, or retain a stake. Identify priorities and limits, and review financial and legal consequences with your own advisors.
Preparation helps explain the business; it does not remove risk or guarantee a sale. Santa Maria Ventures seeks to acquire and operate established businesses for the long term. To explore whether there is a fit, start a confidential conversation, with no cost or obligation.
